1. General

These Terms and Conditions apply to all quotations, agreements and coaching programmes provided by Iersel Coaching & Development, established in the Netherlands and registered with the Dutch Chamber of Commerce under number 71644245.

By making use of the services of Iersel Coaching & Development, you agree to these Terms and Conditions.

Definitions

• Coach / Iersel Coaching & Development: the sole proprietorship providing coaching and guidance services

• Client Organisation (Principal): the natural person or organisation purchasing a coaching programme

• Client: the individual who is actually being coached (this may be the Principal or a third party).

2. Quotations and Agreement

• All quotations and rates are non-binding unless agreed otherwise in writing.

• An agreement is concluded at the moment a quotation is confirmed in writing or by email.

• The Principal and Client guarantee the accuracy and completeness of the information provided.

3. Fees and payment

• All rates are exclusive of VAT unless stated otherwise.

• Invoicing takes place at the start of the coaching programme or in accordance with agreed arrangements.

• Payment must be made within 14 days of the invoice date.

• In the event of late payment, Iersel Coaching & Development is entitled to charge statutory interest and collection costs.

4. Performance of the agreement

• Iersel Coaching & Development shall perform the coaching services to the best of its knowledge and ability.

• Coaching constitutes an obligation of effort (best-efforts obligation); specific results cannot be guaranteed.

5. Confidentiality and privacy

• All information shared during the coaching programme will be treated as confidential.

• Information will only be shared with third parties with the explicit consent of the Client, unless disclosure is required by law.

• Personal data are processed in accordance with applicable privacy legislation. Please refer to the Privacy Statement.

6. Intellectual property

• All materials, methodologies and documents provided by Iersel Coaching & Development remain the intellectual property of Iersel Coaching & Development.

• Without prior written consent, these materials may not be reproduced, disclosed, or used for commercial purposes.

• Use for personal development purposes is permitted.

7. Force majeure

• In the event of force majeure — meaning circumstances beyond the reasonable control of Iersel Coaching & Development (such as illness, technical failures, or government measures) — Iersel Coaching & Development has the right to suspend or reschedule the performance of the agreement.

  If the force majeure situation is permanent, both parties have the right to terminate the agreement without any obligation to pay compensation.

8. Amendments and cancellation

• Amendments to appointments or coaching programmes will be agreed upon by mutual consultation.

• In the event of cancellation or rescheduling within 24 hours prior to the appointment, Iersel Coaching & Development reserves the right to charge costs.

9. Liability

• Iersel Coaching & Development shall only be liable for direct damage that is demonstrably the result of intent or gross negligence.

• Liability is limited to the amount invoiced for the relevant coaching programme.

• Liability for indirect damage, consequential loss, or loss of income is excluded.

10. Complaints

• Complaints must be submitted in writing as soon as possible, but no later than 21 days after discovery, via info@marjolijnvaniersel.nl.

• Iersel Coaching & Development will make reasonable efforts to resolve complaints through mutual consultation.

11. Governing law and disputes

• All agreements are governed by Dutch law.

  Any disputes shall be submitted to the competent court in the district where Iersel Coaching & Development is established.
